ATIF Completes GoldCoin Labs Acquisition | AI-Generated Image

ATIF Holdings Limited announced in a statement distributed via Business Wire that it completed the acquisition of GoldCoin Labs Limited on September 9, 2026, issuing 2,815,005 ordinary shares as consideration in an all-share transaction valued at roughly $20 million. The deal, which received unanimous board approval and an independent fairness opinion from Pinetree Advisory and Valuation Limited, makes GoldCoin Labs a wholly owned subsidiary of the Nasdaq-listed company. GoldCoin Labs, incorporated in December 2025, had been indirectly owned by Metra Group Limited, whose earlier non-binding letter of intent with ATIF expired in June 2026 after due diligence led management to pursue the more focused GoldCoin transaction instead.

Through the acquisition, Metra Group’s gold digital-finance business now operates within a Nasdaq-listed entity, as highlighted during the September 10, 2026, bell-ringing event at Nasdaq MarketSite in New York attended by international guests. GoldCoin Labs is developing issuance infrastructure for Metra Gold, or GOLDM, a tokenized digital asset where each token represents one gram of fine gold backed on a 1:1 basis by physical gold reserves. The reserves are intended to meet London Bullion Market Association Good Delivery standards, with the business model encompassing token issuance and redemption, third-party custody, reserve verification and blockchain-based transfers.

In the announcement, Shaikh Hamad Radakh said, “The UAE’s role in connecting the global gold supply chain, international trade and financial innovation provides a unique strategic foundation for Metra Gold.” He added that the Nasdaq milestone combines Metra’s gold-industry vision with GoldCoin Labs’ digital infrastructure and ATIF’s capital-markets platform. Radakh, as a shareholder, expressed strong confidence in the direction and commitment to long-term development in gold supply-chain finance and global trade settlement.

The initiative aligns with Nasdaq’s ongoing work to support tokenized securities, including a December 2025 filing with the SEC to amend rules enabling trading of securities in tokenized form during a pilot program with the Depository Trust Company. ATIF’s board cited the strategic rationale, market opportunity in the tokenized real-world asset sector and regulatory considerations when approving the transaction. GoldCoin Labs’ approach focuses on using the GOLDM token to explore applications in real financing, trade and settlement across the gold value chain.

ATIF Holdings Limited, which trades under the ticker AUC on Nasdaq, entered the definitive acquisition agreement with GoldCoin Labs on July 30, 2026, following the lapse of the broader Metra Group letter of intent. The companies’ statement described the UAE as a global gold hub that supports the strategic foundation for this digital finance expansion. The acquisition positions ATIF to gain exposure to gold-backed digital assets while maintaining third-party custody and verification protocols for the underlying physical gold.
