DIP Holding Plc said in a statement that Dubai Investments PJSC will offer 1,735,243,300 existing ordinary shares, equivalent to 20 percent of the group’s issued share capital, on the Dubai Financial Market. The announcement distributed via the DFM on October 19, 2026, confirmed that all shares are being sold by the parent company, with DIP Holding itself receiving no proceeds from the transaction. The statement outlined a subscription period running from October 27 to November 3, 2026, with trading in the shares expected to commence on or around November 11, subject to regulatory approvals and market conditions.

The offering divides into four tranches, the statement detailed, with the first allocating 5 percent or 86,762,165 shares to individual subscribers and other eligible investors holding a valid National Investor Number with the DFM. Professional investors, as defined under Capital Market Authority regulations, will have access to 92 percent or 1,596,423,836 shares in the second tranche, while the third reserves 1 percent or 17,352,433 shares for eligible employees of Dubai Investments PJSC and its subsidiaries. The fourth tranche commits 2 percent or 34,704,866 shares to eligible shareholders of Dubai Investments PJSC as of an October 28, 2026, record date, with the selling shareholder retaining the right to adjust tranche sizes under certain conditions.

DIP Holding owns Dubai Investments Park, a 23-million-square-metre mixed-use development established in 1999 along Sheikh Mohammed Bin Zayed Road near Al Maktoum International Airport and Jebel Ali Port, the statement noted. The park maintains 99.9 percent occupancy across its industrial, commercial and residential zones and accommodates more than 1,200 tenants together with 4,000 sub-leases, according to operator data included in the announcement. The company generates recurring revenue from ground rents and integrated services within one of Dubai’s largest established business ecosystems.

The group expects to distribute 700 million dirhams in dividends for the 2026 financial year, rising to 725 million dirhams in 2027 and 750 million dirhams in 2028, the statement showed. These projections form part of the investment case presented to prospective shareholders in the lead-up to the book-building process that will determine the final offer price in dirhams. The offer price range is scheduled for release before the subscription window opens, with the ultimate price and size to be fixed after the second tranche closes.

Khalid bin Kalban, chairman of DIP Holding and vice chairman and chief executive of Dubai Investments PJSC, said in the statement, “Our intention to list DIP Holding on the Dubai Financial Market represents a natural next step in a journey that began more than 25 years ago. Dubai Investments has long sought to incubate distinctive businesses and pioneering concepts, and Dubai Investments Park is one of the clearest examples of that approach at work.” The chairman added that the park has evolved into a diversified, mature operation with strong fundamentals that the listing will allow public investors to access. Any future inorganic growth opportunities would originate at Dubai Investments PJSC and be assessed by the group on an arm’s-length basis only if deemed beneficial to shareholders.

This transaction will mark the first IPO in the UAE in 2026, according to a Reuters report. LSEG data placed global equity issuance at $870.7 billion in the first nine months of 2026, a 62 percent increase from the prior year, even as certain regional markets experienced varied activity levels. The development comes as IPO volumes worldwide reached their highest mark since 2021 during the same period.

The timeline in the statement sets the announcement of the final offer price for November 4, 2026, after the close of the professional investor tranche, followed by allocation notifications and refunds on November 10. Admission to trading on the Dubai Financial Market is targeted for November 11, completing a process that began with the formal intention-to-float disclosure. The statement emphasised that the offering remains subject to approvals from the Capital Market Authority and other relevant authorities.
